These Terms explain how PYLI works, what you can expect from our platform, and what we expect from users and organizations. They outline responsibilities, payment handling, content moderation, and how disputes are resolved so everyone understands their rights and obligations when using PYLI.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE PYLI WEBSITE, APPLICATIONS, OR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.
1. ACCEPTANCE OF TERMS
This Terms of Service Agreement (“Terms” or “TOS”) is a legally binding agreement between you (“you,” “user,” or “member”) and PYLI GROUP LLC, doing business as PYLI (“PYLI,” “we,” “us,” or “our”), located at 46398 Rilassare Ter, Sterling, Virginia 20164.
These Terms govern your access to and use of the PYLI website located at https://pyli.app, any related applications, and all associated services (collectively, the “Services”).
2. DESCRIPTION OF SERVICES
PYLI is a software-as-a-service (SaaS) platform that enables organizations to manage events, payments, memberships, communications, registrations, and related administrative and operational functions.
PYLI provides tools that allow organizations (“Organizations”) to:
- Collect payments
- Manage ticketing and registrations
- Communicate with attendees or members
- Administer organization-specific workflows
PYLI does not organize, host, sponsor, or operate events or organizations unless explicitly stated otherwise.
The Services are provided on an “AS IS” and “AS AVAILABLE” basis. PYLI may modify, suspend, or discontinue any part of the Services at any time without liability.
2.1 ORGANIZATION SERVICES
PYLI provides Organizations with configurable tools and modules designed to assist with internal administration and operations. These tools may include, but are not limited to:
- Membership management and recordkeeping
- Recruitment and onboarding workflows
- Dues and payment collection
- Task and request tracking
- Surveys, polls, and voting mechanisms
- Communications, notifications, and internal messaging
The availability, configuration, and use of Organization services and modules are determined solely by the Organization.
PYLI does not review, approve, validate, or enforce organizational decisions, policies, votes, approvals, disciplinary actions, or outcomes generated through the Services. PYLI does not act as a fiduciary, advisor, or decision-maker for any Organization.
Organizations are solely responsible for:
- The accuracy, legality, and appropriateness of data they collect or maintain
- Compliance with applicable laws, bylaws, and internal governance rules
- Decisions, actions, and outcomes resulting from use of the Services
PYLI does not guarantee that any tool is suitable for a specific governance, compliance, or regulatory purpose.
3. ELIGIBILITY AND AGE REQUIREMENTS
PYLI is intended for use only by individuals who are at least 13 years of age.
- Individuals under the age of 13 are strictly prohibited from creating accounts or using the Services.
- Individuals between the ages of 13 and 17 represent that they have obtained consent from a parent or legal guardian.
PYLI does not knowingly collect personal information from children under the age of 13. Any account found to be in violation of this section may be terminated immediately.
4. ACCOUNT REGISTRATION AND SECURITY
To access certain Services, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information
- Safeguard your login credentials
You are solely responsible for all activity occurring under your account. PYLI is not liable for losses caused by unauthorized use of your account.
5. PAYMENT PROCESSING AND FEES
5.1 Stripe Payment Processing
Payment processing services are provided by Stripe and are subject to the Stripe Connected Account Agreement, the Stripe Services Agreement, available at https://stripe.com/legal, and the Stripe Privacy Policy, available at https://stripe.com/privacy (collectively, the “Stripe Services Agreement”).
By using PYLI’s payment features, you agree to be bound by the Stripe Services Agreement, as it may be modified by Stripe from time to time. You authorize PYLI to share information and transaction data with Stripe as required to provide the Services.
5.2 PYLI Fees
PYLI may charge Organizations:
- Subscription fees
- Platform transaction fees
- Usage-based or service-based fees
Platform transaction fees typically range between 1% and 5%, depending on the Organization’s agreement with PYLI. Stripe processing fees are separate and are charged by Stripe directly.
PYLI reserves the right to modify fees with reasonable advance notice. Continued use of the Services after notice constitutes acceptance of the updated fees.
5.3 Refunds
Except as required by applicable law, all subscription fees and platform fees are non-refundable. Stripe processing fees are non-refundable under all circumstances.
6. EVENT TICKETS AND ORGANIZER RESPONSIBILITIES
PYLI acts solely as a technology platform.
Unless explicitly stated otherwise, the event organizer is the merchant of record for all event ticket sales and related transactions.
Event organizers are solely responsible for:
- Event content and execution
- Ticket fulfillment
- Cancellations and refunds
- Chargebacks and disputes
- Compliance with applicable laws
PYLI is not responsible for the delivery, quality, safety, legality, or execution of any event.
Refunds initiated by organizers are subject to applicable transaction and processing fees, which remain the responsibility of the organizer.
7. PRIVACY, DATA OWNERSHIP, AND DATA REMOVAL
PYLI collects and processes personal data in accordance with its Privacy Policy, available at https://www.pyli.app/privacy.
Depending on the Services used, PYLI may act as a data controller or data processor, including when processing data on behalf of Organizations.
7.1 Organization-Controlled Data
Certain data associated with your account may be created, managed, and controlled by an Organization, including but not limited to:
- Membership records
- Event participation history
- Attendance records
- Organization-specific metadata
In such cases, PYLI processes this data on behalf of the Organization.
7.2 Account Deletion and Data Removal Requests
You may request deletion of your PYLI user account. Upon account deletion:
- Your direct PYLI account access will be removed
- PYLI will delete or anonymize personal data under its direct control, subject to legal and operational requirements
PYLI may be unable to delete or modify Organization-controlled data without authorization from the Organization.
Requests to delete or modify membership history, organization records, or Organization-controlled data must be directed to the applicable Organization. An Organization owner may request PYLI to remove the Organization and its associated data, subject to verification and applicable retention obligations.
Users may have rights under applicable privacy laws, including GDPR and CCPA/CPRA, as further described in the Privacy Policy.
8. USER CONTENT AND MODERATION
Users and Organizations may submit, upload, or manage content through the Services (“User Content”). PYLI does not proactively monitor or control User Content and is not responsible for its accuracy, legality, or appropriateness.
Organizations are responsible for moderating content created, submitted, or managed within their Organization.
8.1 Content Removal and Enforcement
PYLI reserves the right, but does not have an obligation, to:
- Remove or restrict access to User Content that is flagged, reported, or requested for removal by an Organization
- Remove content that violates these Terms or applicable law
- Suspend or terminate user accounts for violations
If an Organization fails to reasonably moderate its content or repeatedly allows violations of these Terms, PYLI reserves the right to suspend or terminate the Organization’s access to the Services, with or without notice.
9. USER CONDUCT
You agree not to use the Services to:
- Violate any law or regulation
- Infringe intellectual property rights
- Upload malicious software
- Harass, abuse, or harm others
- Misrepresent affiliation or identity
- Engage in fraudulent or deceptive practices
PYLI reserves the right to remove content or suspend accounts that violate these Terms.
10. INTELLECTUAL PROPERTY
All PYLI software, branding, trademarks, and content are the exclusive property of PYLI or its licensors.
You are granted a limited, non-exclusive, non-transferable license to access and use the Services solely as permitted by these Terms.
11. DISCLAIMERS
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PYLI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PYLI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
13. INDEMNIFICATION
You agree to indemnify and hold harmless PYLI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.
14. TERMINATION
You may terminate your account at any time by contacting support@pyli.app.
PYLI may suspend or terminate accounts or Organizations immediately for violations of these Terms, non-payment, fraud, legal compliance reasons, or failure to adequately moderate content.
15. GOVERNING LAW AND VENUE
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.
Any dispute shall be brought exclusively in the state or federal courts located in Loudoun County, Virginia, and you consent to such jurisdiction.
16. MODIFICATIONS
PYLI may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
