Organization Agreement

This Agreement applies to organizations using PYLI to manage members, events, payments, and internal workflows. It explains organizational responsibilities, data ownership, moderation expectations, and how PYLI supports — but does not govern — organizational decisions.

PYLI ORGANIZATION AGREEMENT

Organization Services Agreement

This Organization Services Agreement (“Organization Agreement”) is entered into between PYLI GROUP LLC, doing business as PYLI (“PYLI,” “we,” “us,” or “our”), and the organization accepting this agreement (“Organization,” “you,” or “your”).

This Agreement governs the Organization’s use of PYLI’s organization-level tools and services and supplements PYLI’s Terms of Service and Privacy Policy, which are incorporated by reference. In the event of a conflict, this Agreement controls with respect to Organization use.


1. AUTHORITY TO ENTER AGREEMENT

By creating or managing an Organization on PYLI, you represent and warrant that you:

  • Are at least 18 years of age
  • Have authority to bind the Organization to this Agreement
  • Are acting on behalf of a legally recognized organization or group

You are responsible for ensuring that all Organization administrators and representatives comply with this Agreement.


2. ORGANIZATION SERVICES

PYLI provides configurable tools and modules that may include, but are not limited to:

  • Membership and participant management
  • Recruitment and onboarding workflows
  • Dues, assessments, and payment collection
  • Task, request, and workflow tracking
  • Surveys, polls, and voting tools
  • Communications and notifications
  • Event and attendance management

Feature availability may vary by plan, configuration, or subscription level. PYLI does not guarantee the availability or suitability of any specific feature for a particular purpose.


3. ORGANIZATION RESPONSIBILITIES

The Organization is solely responsible for:

  • The accuracy, legality, and appropriateness of all data it collects or maintains
  • Compliance with applicable laws, regulations, bylaws, governing documents, and internal policies
  • Decisions, actions, votes, approvals, rejections, and outcomes conducted using the Services
  • Communicating policies, rules, and decisions to members

PYLI does not act as a fiduciary, advisor, arbitrator, or decision-maker for the Organization.


4. MEMBERSHIP DATA & DATA OWNERSHIP

4.1 Organization-Controlled Data

Data created, uploaded, or managed by an Organization—including membership records, participation history, dues history, votes, surveys, and requests (“Organization Data”)—is controlled by the Organization.

PYLI processes Organization Data solely on behalf of the Organization and does not independently determine how such data is used.


4.2 Data Deletion & Retention

  • PYLI may remove Organization Data only upon request by an authorized Organization owner or administrator
  • Individual users may request account deletion, but Organization Data may remain subject to the Organization’s retention policies
  • PYLI may retain certain data as required by law, accounting obligations, dispute resolution, or platform integrity

5. CONTENT, MODERATION, AND ENFORCEMENT

5.1 Organization Moderation Responsibilities

The Organization is responsible for moderating content created or managed within its Organization, including:

  • Messages
  • Files
  • Posts
  • Requests
  • Survey responses
  • Comments or submissions

5.2 PYLI Enforcement Rights

PYLI does not proactively monitor Organization content. However, PYLI reserves the right, but not the obligation, to:

  • Remove or restrict content flagged or reported by users or requested by the Organization
  • Remove content that violates PYLI’s Terms of Service or applicable law
  • Suspend or terminate individual user accounts

If an Organization repeatedly fails to reasonably moderate content or allows ongoing violations, PYLI may suspend or terminate the Organization’s access to the Services, with or without notice.


6. PAYMENTS, FEES, AND STRIPE CONNECT

6.1 Payment Processing

Payment processing services are provided by Stripe and are governed by the Stripe Connected Account Agreement, Stripe Services Agreement, and Stripe Privacy Policy (https://stripe.com/legal, https://stripe.com/privacy).

Unless explicitly stated otherwise, the Organization is the merchant of record for all transactions conducted through its Organization account.


6.2 Fees

The Organization agrees to pay all applicable:

  • Subscription fees
  • Platform transaction fees
  • Stripe processing fees
  • Chargebacks, disputes, and related costs

Fees are non-refundable except as required by law.


6.3 Chargebacks & Disputes

The Organization is solely responsible for:

  • Chargebacks
  • Payment disputes
  • Refund decisions
  • Supporting evidence submissions

PYLI may assist administratively but does not assume financial responsibility.


7. GOVERNANCE TOOLS DISCLAIMER

PYLI provides governance-related tools (such as voting, surveys, and approvals) as technical utilities only.

PYLI does not:

  • Validate voter eligibility
  • Verify quorum requirements
  • Certify results
  • Enforce outcomes

The Organization is solely responsible for ensuring governance actions comply with its governing documents and applicable law.


8. TERMINATION OF ORGANIZATION

8.1 Termination by Organization

An authorized Organization owner may request termination of the Organization account by contacting support@pyli.app.


8.2 Termination by PYLI

PYLI may suspend or terminate an Organization if the Organization:

  • Violates this Agreement or PYLI’s Terms of Service
  • Fails to pay applicable fees
  • Engages in unlawful or fraudulent activity
  • Fails to reasonably moderate content
  • Poses legal, financial, or reputational risk to PYLI

Termination may result in loss of access to Organization Data, subject to applicable retention obligations.


9. INDEMNIFICATION

The Organization agrees to indemnify and hold harmless PYLI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • The Organization’s use of the Services
  • Organization Data or content
  • Governance decisions or disputes
  • Violations of law or internal rules

10. DISCLAIMERS

THE ORGANIZATION SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PYLI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.


11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PYLI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM THE ORGANIZATION’S USE OF THE SERVICES.


12. GOVERNING LAW

This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Venue shall lie exclusively in Loudoun County, Virginia.
